Most small issuers (Pink or Bulletin Board) face tremendous challenges today. Regulations are increasing while available cash is decreasing. In the past, small issuers have relied on 504 funding and convertible debt instruments. Yet, abuse in these areas has caused enforcement actions, halts to trading by the SEC at the worst, and at best DTC chills. As a result, small issuers are left with the same options that a private company has to raise money and, most no longer have friends and family willing to invest!
This results in:
1. Little to no Access to Cash
2. The Inability to be Underwritten
3. Substantial Debt and few Assets
4. Yield and Stop Signs
5. Inability to Clear Stock
This culture operates in false value, repetitive debt conversions and investor disillusionment. In order for this to change there must be a shift in thinking; this is where NIA comes in.
NIA offers proven solutions that can turn a struggling public company around in 3 to 12 months no matter the starting place. The process takes time and it involves NIA’s entire team as well as the CEO, accountants and attorneys of the public company. The team must analyze the changes required and diligently pursue them. Our goal with any client company is to restructure the company whereby we step in as investors, bring both revenue producing assets and cash deposited into treasury.
Our system is proven to move a company from debt and no assets to no debt, increased assets, growing revenue and a target stock price of $2.50 or higher. Every step of the way, NIA covets to work with transparency, integrity and in turn we ask the CEO’s and Board Members do the same.
